General Terms and Conditions of EMEDEN e.U.<\/p>\n\n\n\n
ROBCARE\u2122 is a brand of EMEDEN e.U.<\/p>\n\n\n\n
These General Terms and Conditions apply to all business relationships between EMEDEN e.U. (hereinafter referred to as the \u201cSeller\u201d) and its customers.<\/p>\n\n\n\n
Our products and services are offered exclusively to business customers (B2B) within the meaning of the Austrian Commercial Code (UGB). Consumers are excluded.<\/p>\n\n\n\n
Any deviating or supplementary terms and conditions of the customer shall not become part of the contract unless their applicability has been expressly agreed to in writing.<\/p>\n\n\n\n
Our offers are non-binding and subject to change.<\/p>\n\n\n\n
A contract shall only be concluded upon our written order confirmation or upon delivery of the goods.<\/p>\n\n\n\n
Reasonable technical modifications and changes in form, colour or material are reserved.<\/p>\n\n\n\n
All prices are stated in euros (\u20ac) and are exclusive of the applicable statutory VAT unless otherwise indicated.<\/p>\n\n\n\n
Unless otherwise agreed, payment shall be made in advance.<\/p>\n\n\n\n
30% of the total amount is due as a deposit upon placement of the order. The remaining 70% is payable before shipment of the goods.<\/p>\n\n\n\n
Delivery will only take place after full payment has been received.<\/p>\n\n\n\n
In the event of late payment, we reserve the right to charge statutory default interest and reminder fees.<\/p>\n\n\n\n
Delivery shall be made in accordance with the individually agreed delivery terms, for example EXW, FOB or CIF in accordance with Incoterms\u00ae.<\/p>\n\n\n\n
Delivery times are non-binding unless expressly confirmed as binding.<\/p>\n\n\n\n
Partial deliveries are permitted insofar as they are reasonable for the customer.<\/p>\n\n\n\n
The goods supplied shall remain our property until all outstanding claims have been paid in full.<\/p>\n\n\n\n
The customer must inspect the goods immediately upon delivery.<\/p>\n\n\n\n
Any apparent defects must be reported to us in writing within 7 days of receipt.<\/p>\n\n\n\n
In the event of justified defects, we reserve the right to remedy the defect or provide replacement goods.<\/p>\n\n\n\n
To the extent permitted by law, our liability is limited to cases of intent and gross negligence.<\/p>\n\n\n\n
We shall not be liable for indirect damages, consequential damages or loss of profit.<\/p>\n\n\n\n
Liability shall be limited in amount to the value of the goods supplied.<\/p>\n\n\n\n
The products supplied are intended for commercial use.<\/p>\n\n\n\n
The customer is responsible for verifying the suitability of the products for the intended application.<\/p>\n\n\n\n
Technical data and product descriptions are provided for guidance only and do not constitute guaranteed characteristics.<\/p>\n\n\n\n
The customer is responsible for compliance with all applicable import, customs and legal requirements in the country of destination.<\/p>\n\n\n\n
Events of force majeure, including but not limited to natural disasters, strikes, supply shortages and transport disruptions, shall release us from our performance obligations for the duration of the disruption.<\/p>\n\n\n\n
These Terms and Conditions shall be governed by Austrian law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).<\/p>\n\n\n\n
The place of jurisdiction shall be Vienna, Austria, provided that the customer is a business customer.<\/p>\n\n\n\n
Should any individual provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.<\/p>\n\n\n\n
